Brazil’s Securities Commission (CVM) has unveiled new guidelines aimed at accelerating the entry of small- and mid-cap companies into capital markets.
Beginning in 2026, the new framework, dubbed Fácil (Portuguese for “easy”), will reduce regulatory hurdles for companies with gross annual revenues of up to BRL 500 million (USD 91.6 million) seeking to raise funds through equity offerings or debt issuance.
Under existing rules, companies must first secure registration with the CVM before applying for a stock exchange listing — a process that is often lengthy and burdensome. The regulator currently requires three years of independent audits and extensive documentation…
